Separate the assets that make up the pack

List logos, product photography, illustrations, copy, fonts, structural drawings, editable layout files and printing plates or cylinders. Identify who supplied each asset and what rights were granted. A finished PDF can contain elements owned by several parties, even when one supplier assembled the layout.

In facial tissue OEM, do not confuse a supplier’s reusable box template with the buyer’s brand artwork. State which elements may be used for other customers and which must remain exclusive. Ask for evidence of relevant third-party permissions before approving reproduction, especially for stock images or licensed fonts.

Specify the deliverables rather than asking for all files

Name the editable file format, linked images, font treatment, color references, dieline revision and print-ready output. Explain whether the buyer needs files only for the current printer or for a future transfer. Include a way to check that the handover package opens correctly without missing links.

A facial tissue OEM quotation should distinguish design service, prepress preparation and physical tooling charges. State what each payment covers and when delivery is due. Ownership of a printing cylinder is a separate question from copyright in the artwork placed on it. Obtain legal review where an assignment or license is material.

What should the rights agreement address?

Specify permitted use, territories, duration, modification, sublicensing to production partners and transfer to another supplier. WIPO explains that copyright concerns rights in creative expression and that licensing authorizes particular uses. It also emphasizes differences across national laws. These principles support asking precise questions, not assuming one rule applies to every commissioned design.

The facial tissue OEM file should identify the party granting the rights and the authority of the signer. Record whether source files are included and whether third-party assets impose restrictions. A confidentiality promise does not automatically grant a copyright license, and a license does not automatically require editable-file delivery.

Plan the handover and future revisions

Use a version register showing the approved artwork, structural drawing, product declarations and date. Keep superseded files clearly separated from current production files. Require written approval for changes that affect the label, pack fit or print appearance. A brand owner should be able to identify which version was used on a disputed shipment.

Before a facial tissue OEM supplier change, agree the transfer checklist, outstanding fees, tooling release and removal of obsolete production copies where appropriate. Test the handover package before ending the relationship. A readable preview is not proof that a new printer can manufacture the same pack from the delivered files.
